# General Terms and Conditions

General terms governing use of the Pulse Onboard platform.

## [1. Definitions](#_1-definitions)

**Pulse Onboard:** NextGen Leads & Consultancy, trading as Pulse Onboard, provider of the AI-driven operational knowledge platform. **Customer:** the natural person or legal entity that uses the Pulse Onboard platform, directly or through a partner. **Partner:** a third party that onboards or supports customers and/or uses the Pulse Onboard platform commercially. **Platform:** the Pulse Onboard environment, including its software, features, workflows, onboarding structures, analytics, AI features and associated infrastructure. **Pulse Onboard environment:** Pulse Onboard’s complete software and user environment. **AI feature:** all AI-related processing, analyses and output within the platform. **Knowledge:** all data, documents, information and operational knowledge entered by the customer. **Active user:** an account with access to the platform during the billing period.

## [2. Applicability](#_2-applicability)

These terms apply to all agreements with Pulse Onboard, use of the platform, use through partners, evaluation and pilot use, and supplementary agreements and appendices. Deviations are valid only when agreed in writing. Supplementary agreements, including an Early Access, Evaluation & Confidentiality Agreement, may contain additional provisions concerning evaluation use, confidentiality and intellectual property.

## [3. Services](#_3-services)

Pulse Onboard provides an operational knowledge platform that supports organizations with knowledge structuring, onboarding, realtime knowledge retrieval, operational guidance, AI output, knowledge growth and governance. Pulse Onboard does not provide legal, financial, medical or HR advice and does not make automated decisions on behalf of customers. AI output and analyses are supportive and informational only.

## [4. Use of the platform](#_4-use-of-the-platform)

The customer uses the platform in accordance with these terms and remains responsible for all activity within its account. The platform may be used only for lawful purposes. Pulse Onboard reserves the right to restrict use or suspend access in the event of misuse, breach of these terms or security risks.

## [5. AI features and output](#_5-ai-features-and-output)

AI output is generated from submitted knowledge and may be interpretive, incorrect or incomplete. AI output does not replace human review and does not constitute legal, financial, medical or HR advice.

## [6. Use of analyses and insights](#_6-use-of-analyses-and-insights)

The platform may generate analyses, summaries, insights and operational signals. These analyses are informational only and do not constitute advice or recommendations. Pulse Onboard is not responsible for the interpretation of analyses or decisions based on insights.

## [7. Restrictions on use](#_7-restrictions-on-use)

The platform may not be used for automated decision-making with legal or financial effects, HR decision-making, medical or legal advice, or the processing of sensitive personal data without a legal basis. Reverse engineering, scraping, unauthorized reproduction and competitive exploitation of confidential workflows or methodologies are prohibited.

The customer remains fully responsible for submitted knowledge, data accuracy, compliance with privacy laws, and its use of output and analyses.

## [9. Partners](#_9-partners)

When using the platform through a partner, the customer remains responsible for its data and use. Pulse Onboard is not liable for the actions of partners.

## [10. Availability and maintenance](#_10-availability-and-maintenance)

Pulse Onboard aims to provide professional and stable platform availability. Although the platform is actively managed and tested, features may change, parts may temporarily be incomplete, or temporary interruptions may occur. Pulse Onboard will make reasonable efforts to limit any impact on users.

## [11. Invoicing and payment](#_11-invoicing-and-payment)

Invoices are issued in advance based on active users or agreed licences. The payment term is 14 days. In the event of late payment, Pulse Onboard may charge interest and collection costs and restrict access.

## [12. Licences and termination](#_12-licences-and-termination)

Licences are invoiced based on active users or agreed licence structures. Termination must be made in writing.

## [13. Misuse and suspension](#_13-misuse-and-suspension)

Pulse Onboard may restrict, block or terminate use of the platform in the event of misuse, breach of confidentiality, reverse engineering or security incidents.

## [14. Liability](#_14-liability)

To the extent permitted by law, Pulse Onboard is not liable for decisions based on AI output, interpretations of analyses, indirect or consequential loss, or disruptions caused by external service providers. Pulse Onboard’s total liability is limited to the amount paid by the customer during the preceding three months.

## [15. Intellectual property](#_15-intellectual-property)

All rights in the platform, Pulse Onboard workflows, onboarding structures, knowledge infrastructure, AI features and operational methodologies belong exclusively to Pulse Onboard.

## [16. Privacy and data](#_16-privacy-and-data)

Pulse Onboard processes data in accordance with the GDPR, Privacy Policy and applicable Data Processing Agreement (DPA). The DPA forms an integral part of the relationship where personal data is processed.

The customer remains the owner of data, documents, operational knowledge and other content entered by or on behalf of the customer within the Pulse Onboard environment. Pulse Onboard receives only a limited right of use to the extent necessary for:

- delivery and operation of the platform;
- AI features and knowledge retrieval;
- structuring and normalization of knowledge;
- knowledge growth workflows;
- analytics and reporting;
- security, monitoring and support;
- quality improvement and optimization of the Pulse Onboard environment; and
- development of features within Pulse Onboard’s existing services.

Pulse Onboard will not sell or disclose customer data, or use it for commercial exploitation outside Pulse Onboard’s services, without the customer’s explicit written permission.

Pulse Onboard may use anonymized, aggregated or technically derived analyses, metadata, usage statistics, quality measurements, knowledge structures, maturity indicators or operational insights generated within the platform for analysis, security, optimization and further platform development, provided that they cannot be traced back to individual persons or the customer’s confidential business information. Personal data is processed only in accordance with the applicable Privacy Policy, DPA and privacy laws.

## [17. Logging and monitoring](#_17-logging-and-monitoring)

Pulse Onboard may log usage data and metadata for platform security, analysis, support and optimization.

## [18. Data and termination](#_18-data-and-termination)

After termination of the agreement, Pulse Onboard may delete data after a reasonable period. The customer remains responsible for safeguarding its data.

## [19. Indexation](#_19-indexation)

Pulse Onboard reserves the right to adjust its fees periodically.

## [20. Force majeure](#_20-force-majeure)

Pulse Onboard is not liable for failures resulting from force majeure, including outages at external suppliers or AI services.

## [21. Changes](#_21-changes)

Pulse Onboard may amend these terms. The most recent version applies.

## [22. Governing law](#_22-governing-law)

These terms are governed exclusively by Dutch law. Disputes will be submitted to the competent court in the Netherlands.
